CONSTITUTION

ARTICLE I
Name - The name of this not for profit corporation shall be Cherry Valley Carriage Association.

ARTICLE II
Government - The government of this organization shall be self regulating and its control shall be vested in its Board of Directors as elected by the membership.

ARTICLE III
Purpose - The objective of this organization shall be to promote interest in the driving horse/pony and collecting and restoration of horse drawn vehicles.

ARTICLE IV
Membership - Membership shall be open to anybody interested in fostering the objectives of this organization.

ARTICLE V
Officers and Board of Directors -
Section 1 - The Board of Directors shall consist of nine (9) members. The term shall be three years and a director may serve not more than two (2) consecutive terms. Initially, 3 directors shall be elected for one year, 3 for two years and 3 for three years.

Section 2 - The officers of this organization shall be the President, Vice President, Secretary and Treasurer. The term of office shall be for two (2) years. Officers may serve not more than two (2) consecutive terms. The officers will be elected by the majority of the full Board from their membership.

Section 3 - The Board of Directors shall meet bi‑monthly or more often as deemed necessary.

Section 4 - Election of directors shall be held at the annual meeting in November. The officers will be elected at an organizational meeting immediately following.

Section 5 - Nomination for directors shall be made by a nominating committee of three (3) appointed by the President. Nominations may also be made from the floor.

ARTICLE VI
The constitution may be amended by a majority vote of the full Board. A request to change the by‑laws must be submitted to and approved by a majority vote of the Board of Directors and must achieve a majority vote of those attending a meeting of the membership.
